Terms of Use

1. Introduction

These Terms of Use (the “Terms”) constitute a legally binding agreement between BME Technologies OÜ, a company incorporated under the laws of the Republic of Estonia with registration number 14710805 (the “Company”, “we”, “us”, or “our”), and any person or entity (the “User”, “you”) accessing or using the website located at cryptopayio.com (the “Site”) and any services made available through it (the “Services”). By accessing or using the Site or Services, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Nature of Services

The Company provides transaction coordination and infrastructure support services in connection with digital asset–related transactions. For the avoidance of doubt, the Company:

  • does not operate as an exchange, broker, or trading platform
  • does not execute transactions
  • does not act as a counterparty
  • does not receive, hold, or control client funds or digital assets
  • does not operate wallets or have access to private keys All execution, conversion, custody, and settlement of transactions are performed exclusively by independent third-party providers, including regulated financial institutions and virtual asset service providers. The User acknowledges that it does not rely on the Company for execution, settlement, custody, or safekeeping of assets.

3. Eligibility

By using the Services, the User represents and warrants that:

  • it has full legal capacity to enter into these Terms
  • it complies with all applicable laws and regulations
  • where acting on behalf of a legal entity, it is duly authorized to bind such entity The Company reserves the right to restrict or deny access to the Services at its sole discretion. For AML/CFT purposes, certain Services may be limited to corporate clients only.

4. Regulatory Compliance

The User is solely responsible for ensuring compliance with all applicable laws and regulations, including but not limited to:

  • anti-money laundering and counter-terrorist financing laws
  • sanctions regimes
  • tax obligations The Company may restrict access to the Services based on jurisdiction, regulatory requirements, or internal compliance policies.

5. Risk Disclosure

The User acknowledges that digital asset–related activities involve significant risks, including but not limited to:

  • price volatility
  • liquidity risks
  • operational and technological risks
  • regulatory uncertainty The Company does not guarantee any outcome or performance and shall not be responsible for any losses arising from transactions coordinated through the Services.

6. Role of the Company

The Company acts solely as a non-custodial facilitator. Its role is limited to:

  • coordinating transaction parameters
  • facilitating communication between Users and third-party providers
  • performing compliance checks and risk assessments The Company does not:
  • execute or settle transactions
  • act as an intermediary holding funds
  • assume control over transaction flows

7. User Obligations

The User agrees to:

  • provide accurate, complete, and up-to-date information
  • cooperate with compliance and verification procedures
  • promptly provide requested documentation
  • use the Services only for lawful purposes The User shall not:
  • engage in fraud, money laundering, or any unlawful activity
  • attempt to bypass compliance procedures
  • misrepresent transaction purpose or source of funds

8. Third-Party Providers

The Services involve third-party providers responsible for execution and settlement. The Company:

  • does not control such providers
  • does not guarantee their performance
  • is not responsible for their actions or omissions Any relationship between the User and such providers is governed by separate agreements.

9. Suspension and Termination

The Company may, at its sole discretion, suspend or terminate access to the Services, including where:

  • compliance concerns arise
  • required information is not provided
  • suspicious activity is detected
  • legal or regulatory obligations require such action The Company is not obligated to disclose the basis for such decisions where restricted by law.

10. Fees and Payments

The Company may charge fees for its Services, as communicated to the User from time to time. The Company does not process or receive transaction funds, and any payments are executed via third-party providers.

11. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for:

  • any losses arising from transactions
  • actions or omissions of third-party providers
  • delays, failures, or errors in execution or settlement
  • loss of digital assets The Services are provided on an “as is” and “as available” basis without warranties of any kind.

12. No Advice

The Company does not provide:

  • financial advice
  • investment advice
  • legal or tax advice All decisions made by the User are at its own risk.

13. Data Protection

The Company processes personal data in accordance with its Privacy Policy. By using the Services, the User consents to such processing where required.

14. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, and software, is the property of the Company or its licensors and is protected by applicable intellectual property laws. The User is granted a limited, non-exclusive, non-transferable license to use the Site solely for its intended purpose.

15. Indemnification

The User agrees to indemnify and hold harmless the Company, its directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising from:

  • breach of these Terms
  • misuse of the Services
  • violation of applicable laws

16. Force Majeure

The Company shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to:

  • natural disasters
  • cyber incidents
  • regulatory actions
  • failures of third-party providers

17. Amendments

The Company may amend these Terms at any time. Updated Terms will be published on the Site, and continued use of the Services constitutes acceptance of such amendments.

18. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Republic of Estonia. Any dispute arising out of or in connection with these Terms shall be resolved through negotiations. If no resolution is reached, disputes shall be submitted to arbitration in Tallinn, Estonia, in accordance with applicable arbitration rules.
